HubHive Shop Seller Terms (Marketplace Seller Agreement)

These Seller Terms are an agreement between HubHive LLC ("HubHive") and the business or individual that claims a store, applies to sell, or lists products on HubHive Shop ("Seller," "you"). They supplement the HubHive Terms of Use and Privacy Policy, which also apply. By clicking "I agree" when claiming your business or applying to sell, or by listing or selling on HubHive Shop, you accept these Seller Terms on behalf of the Seller.

1. The relationship.

1.1 HubHive is a marketplace; you are the seller. You list, price, describe, produce, package, and fulfill your products. You are the seller of record to the buyer for all purposes other than payment collection and sales-tax remittance. Nothing in these Terms creates a partnership, joint venture, franchise, employment, or agency relationship, except that you appoint HubHive as your limited agent to collect payment from buyers and to collect and remit sales tax on your behalf.

1.2 Merchant of record for payments. HubHive collects the buyer's payment for your products (and for other sellers' products in the same order), holds the funds, and pays you as described in Section 5. Your receipt of payment from HubHive satisfies the buyer's payment obligation to you.

1.3 Non-exclusive. You may sell elsewhere. You agree not to redirect buyers who found you on HubHive to complete a HubHive-initiated order off-platform.

2. Eligibility, claiming, and account.

2.1 You represent that you are a legally organized business or an individual 18 or older, authorized to bind the Seller, and permitted to sell your products under applicable law.

2.2 Pre-seeded listings. HubHive may create a business page and unlisted product records for your business from public information to make claiming easy. Nothing is sold until you claim the business, review each listing, set prices, and publish. Upon claiming, you adopt those listings as your own and become responsible for their accuracy.

2.3 You will keep your business information, licenses, tax information (including a completed Form W-9), and payout details accurate and current.

3. Listings, content, and intellectual property.

3.1 You are solely responsible for the accuracy, completeness, and legality of your listings, including titles, descriptions, images, prices, quantities, ingredients, allergens, warnings, and claims.

3.2 You grant HubHive a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, adapt, display, distribute, and promote your business name, logos, listings, images, videos, and other content (including Clips creators make about your products) on and off HubHive to operate, market, and improve the Services, during the term and thereafter for content already published or as needed for records and legal purposes.

3.3 You represent that you own or are licensed to use all content you supply — including manufacturer and brand images and text — and that it does not infringe any third party's rights. You will indemnify HubHive for claims that your content infringes.

3.4 HubHive may edit listings for format and consistency, add or correct categories, suppress or unlist any listing, or remove content at any time for any reason, including quality, compliance, or risk.

4. Fees.

4.1 Marketplace fee. HubHive retains a marketplace fee equal to 9% of the item price (excluding sales tax and delivery fees) on each sale ("Fee"). HubHive may set different fee rates by product category, program, or agreement and may change the Fee schedule on 30 days' notice through the Seller portal or email; continued selling after the effective date is acceptance.

4.2 Payment processing. The Fee covers HubHive's payment-processing costs on completed sales. On refunded or cancelled sales, non-refundable processing costs are recovered from the Seller as described in Section 7.

4.3 Delivery fees you set are passed through to you in full, less any refund treatment in Section 7.

4.4 No listing fees at this time; HubHive may introduce optional paid programs (promoted placement, advertising) with separate terms.

5. Payouts.

5.1 Schedule. HubHive pays Sellers weekly for orders that became payout-eligible in the prior period. An order becomes payout-eligible 7 days after it is marked picked up or delivered (14 days for a Seller's first 30 days on HubHive Shop). Payment is currently made by check; electronic payout will be offered when available.

5.2 Amount. Item price plus Seller-set delivery fee, less the Fee, less any setoffs under Section 7, plus or minus adjustments for errors.

5.3 Holds. HubHive may delay or withhold payouts, in whole or part, where there is a pending refund, cancellation, dispute, chargeback, suspected fraud, legal requirement, or material breach, for as long as reasonably necessary to resolve the matter.

5.4 Statements. Your Seller portal shows sales, fees, refunds, withholdings, and payouts. Report discrepancies within 30 days of the statement.

6. Taxes.

6.1 Sales tax. HubHive calculates, collects, and remits applicable sales tax on HubHive Shop orders as a marketplace facilitator where required. You remain responsible for any taxes HubHive does not collect and for your own registrations.

6.2 Your taxes. You are responsible for income and other taxes on your sales. HubHive will issue Form 1099-K or other required reporting; you will provide a valid W-9 before your first payout.

7. Refunds, cancellations, and setoff.

7.1 Policies. You agree to the HubHive Shop Refund & Cancellation Policy. Every order is covered by the HubHive marketplace floor: items that are damaged, incorrect, or not as described are refundable regardless of your store policy. Beyond the floor, you set a store return policy (and product-level overrides, such as perishable/no-return) from the options in the Seller portal, and HubHive displays it to buyers.

7.2 Cancellation requests. Buyers may request cancellation before you mark an order ready. You will approve or decline within 48 hours; requests not answered within 48 hours are approved automatically.

7.3 Who bears the cost. When a sale is refunded or cancelled for any reason, HubHive reverses its Fee and earns nothing on that sale, and the Seller bears the cost: the refunded item amount plus the non-refundable payment-processing cost attributable to the refunded amount. Delivery fees are not refunded to buyers unless you elect otherwise. HubHive may deduct these amounts from any current or future payout (setoff) or invoice you if no payout is pending. The sole exception is a refund caused by HubHive's own platform error, which HubHive bears.

7.4 Chargebacks and disputes. You will cooperate promptly with evidence requests. Chargebacks attributable to your product, description, or fulfillment, including dispute fees, are your responsibility and may be set off.

7.5 Buyer contact. Refund and cancellation communications to buyers are sent by HubHive; you may communicate with buyers about their orders through HubHive tools.

8. Fulfillment and service standards.

8.1 You will fulfill orders as offered: mark orders ready for pickup or deliver them within the time shown on your listings (target within 48 hours of payment unless a longer time is stated, e.g., pre-orders), at the pickup locations and within the delivery area you configure, and hand off only to the buyer or their designee.

8.2 You will keep inventory and availability accurate and promptly mark items out of stock.

8.3 You will respond to buyer inquiries about orders within one business day and treat buyers courteously.

8.4 Persistent late fulfillment, unfulfilled orders, high refund rates, or buyer complaints may result in listing suppression, payout holds, or termination.

9. Product compliance, safety, and prohibited items.

9.1 You are responsible for your products. You warrant that each product is lawful to sell, safe when used as intended, accurately labeled (including ingredients and allergens for food), and compliant with all federal, state, and local laws, including licensing, permitting, inspection, cottage-food, weights-and-measures, and consumer-protection requirements.

9.2 Licenses and permits. You will obtain and maintain all required licenses and permits and provide copies on request. HubHive may gate categories (for example requiring a permit before listing dairy, meat, or other regulated products) and may rely on your attestations.

9.3 Prohibited and restricted items. You will not list items HubHive prohibits, including: alcohol; tobacco and nicotine; cannabis and unapproved drugs or supplements; firearms, ammunition, and regulated weapons; raw or unpasteurized milk and milk products unless you hold the required Utah permit and HubHive has approved the listing; home-processed meat and poultry not produced under required inspection; recalled, counterfeit, or stolen goods; hazardous materials; and any item HubHive designates as restricted. HubHive may remove listings and cancel orders for prohibited items at your cost.

9.4 Recalls. You will notify HubHive immediately of any recall or safety issue affecting a listed product and will stop selling it.

10. Buyer data.

10.1 HubHive shares buyer name, contact details, order details, and delivery information with you solely to fulfill and support the order and comply with law.

10.2 You may not use buyer information for marketing, add buyers to lists, sell or share it, or contact buyers outside HubHive tools about anything other than their order, unless the buyer separately opts in to communications from you. You will protect buyer information with reasonable safeguards, delete it when no longer needed for the order or legal retention, and notify HubHive within 48 hours of any suspected breach.

11. Indemnification and liability.

11.1 Indemnity. You will defend, indemnify, and hold harmless HubHive and its owners, directors, employees, contractors, and partners from and against all claims, damages, losses, liabilities, penalties, and expenses (including reasonable attorneys' fees) arising from or relating to: your products (including personal injury, illness, death, or property damage); your listings and content; your fulfillment; your violation of law or these Terms; your taxes; and your dealings with buyers. HubHive may participate in the defense with counsel of its choice; you will not settle any claim imposing obligations on HubHive without its consent.

11.2 Insurance. You are encouraged to maintain commercial general liability (and product liability) insurance; HubHive may require proof for certain categories.

11.3 Limitation. TO THE FULLEST EXTENT PERMITTED BY LAW, HUBHIVE WILL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OR LOST PROFITS, AND HUBHIVE'S TOTAL LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE FEES HUBHIVE RETAINED FROM YOUR SALES IN THE SIX MONTHS BEFORE THE CLAIM. The Services are provided "as is."

12. Term, suspension, and termination.

12.1 These Terms apply from acceptance until terminated. You may stop selling at any time by unlisting your store; HubHive may suspend or terminate your account at any time, with or without cause, on notice.

12.2 Unlisting stops future sales, not existing orders. Orders placed before unlisting or termination must be fulfilled or refunded per Section 7. Payouts for completed orders continue subject to holds and setoff. Sections 3.2, 4–7, 9–11, and 13 survive.

13. General.

13.1 Confidentiality. Non-public information about HubHive's business, fees, systems, and buyers is confidential.

13.2 Communications. We may contact you by email, text, or through the Seller portal about your account, orders, policy changes, and programs.

13.3 Changes. HubHive may modify these Terms on 30 days' notice (immediately for legal or safety reasons). Continued selling is acceptance.

13.4 Disputes. Section 15 of the Terms of Use (arbitration, class waiver, Utah law) applies to disputes between you and HubHive.

13.5 Independent verification. You acknowledge you have not relied on any promise of sales volume or results.
