HubHive Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and HubHive LLC, a Utah limited liability company ("HubHive," "we," "us"), and govern your access to and use of the HubHive community app, HubHive Shop (hubhiveshop.com), HubHive Loop, ProFinder, Clips, and all related websites, apps, and services (together, the "Services"). By creating an account, tapping "Continue," "Place order," "Claim this business," or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you use HubHive Shop as a seller, the Seller Terms also apply; if you post Clips, the Creator Terms also apply. If you do not agree, do not use the Services.

PLEASE READ SECTION 15. IT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

1. One HubHive account.

1.1 One identity across HubHive. Your HubHive account works across the HubHive app, HubHive Shop, and HubHive Loop. Your phone number is your primary identifier; one email address is associated with your account. Information you provide or generate in one HubHive product may be used in the others as described in the Privacy Policy.

1.2 Eligibility. You must be at least 13 to use the Services and at least 18 (or the age of majority where you live) to make purchases, sell, or post Clips. If you use the Services on behalf of a business, you represent that you are authorized to bind it.

1.3 Accuracy and security. You agree to provide accurate information, keep it current, and protect your login. You are responsible for all activity under your account. We may require verification by text-message code or email.

1.4 Existing HubHive members. If you already had a HubHive account, your profile information may be pre-populated so you can sign in to HubHive Shop or Loop without re-registering.

2. What HubHive is — and is not.

2.1 HubHive provides an online platform that lets community members discover local businesses, request quotes from service providers, communicate, post content, and buy products from independent third-party sellers ("Sellers").

2.2 Products are sold by Sellers. Except where a listing expressly identifies HubHive as the seller, every product on HubHive Shop is listed, described, priced, prepared, packaged, and fulfilled by the Seller named on the listing. The Seller is the manufacturer, producer, or retailer of the product and is solely responsible for the product, its safety, quality, labeling, legality, licensing, and any warranties. HubHive does not manufacture, inspect, store, or handle Seller products.

2.3 HubHive collects payment on Sellers' behalf. For your convenience, HubHive processes your payment for all items in an order, including items from multiple Sellers, and remits the proceeds to each Seller. HubHive acting as the payment collector and merchant of record does not make HubHive the seller of the product or transfer any product responsibility from the Seller to HubHive.

2.4 Service providers. Businesses you find through ProFinder or elsewhere on HubHive are independent. HubHive does not vet, license, employ, or guarantee any provider's work, and any agreement for services is solely between you and that provider.

3. Purchases on HubHive Shop.

3.1 Orders. When you place an order, you make an offer to purchase from the Seller(s) named in your cart. An order is accepted when we send an order confirmation. Prices, availability, and product information are set by Sellers and may contain errors; a Seller or HubHive may cancel any order affected by an error, and we will refund any amount charged.

3.2 Payment. You authorize HubHive to charge your selected payment method (including Apple Pay, Google Pay, Link, card, or HubHive's community payment code, "PCode") for the total shown at checkout, including any delivery fee and applicable taxes. PCode orders are not confirmed until payment is received and verified.

3.3 Taxes. HubHive collects and remits applicable sales tax on orders as a marketplace facilitator where required by law.

3.4 Pickup and local delivery. Fulfillment options are set by each Seller. Pickup locations, hours, and delivery areas are the Seller's; you agree to collect pickup orders within the stated window and to provide an accurate delivery address within the Seller's delivery area. Risk of loss passes to you upon pickup or delivery to your address.

3.5 Pre-orders and limited quantities. Some items are pre-orders or limited runs with estimated availability set by the Seller; estimates are not guarantees.

3.6 Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms. In summary: every order is covered for damaged, incorrect, or not-as-described items; other returns follow the Seller's stated policy; delivery fees are not refundable; refunds are issued to the original payment method.

3.7 Food, agricultural, and regulated products. Sellers are solely responsible for compliance with food-safety, labeling, licensing, and permit requirements. Products marked as cottage-food, farm-direct, or similar are produced in facilities that may not be inspected by regulators. You assume the risks associated with such products, and you agree to follow storage and handling instructions.

4. Your content and license to HubHive.

4.1 You retain ownership of content you post (reviews, comments, messages, Clips, business information, photos) ("User Content"). You grant HubHive a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display and perform, and create derivative works of your User Content in connection with operating, promoting, and improving the Services and HubHive's business, in any media now known or later developed. This license continues after you stop using the Services for content already shared with others and for reasonable backup and legal purposes.

4.2 You represent that you own or have the rights to your User Content and that it does not infringe anyone's rights or violate law. HubHive may remove or restrict any content at any time for any reason.

4.3 Feedback you provide may be used by HubHive without restriction or compensation.

5. Community rules.

You agree not to: violate law or others' rights; post false, misleading, defamatory, obscene, harassing, or hateful content; impersonate others; scrape, harvest, or reverse-engineer the Services; interfere with security or operation; use the Services to send unsolicited messages; list or purchase prohibited items; or circumvent HubHive's payment, fee, or review systems (including arranging off-platform payment for orders initiated on HubHive). Messaging rules for Loop are in Section 6.

6. Messaging (HubHive Loop).

Loop lets members message individually and in groups. Sellers and providers may reply to conversations that a member initiates but may not initiate new conversations with members who have not contacted them, except through HubHive-approved features. Do not use Loop for spam, harassment, or unlawful purposes. Messages may be moderated, filtered, or removed to enforce these Terms.

7. Text messages and email.

By providing your phone number, you agree to receive verification codes and transactional texts (order confirmations, pickup readiness, delivery updates) at that number. Message and data rates may apply. Marketing texts are sent only if you separately opt in; reply STOP to cancel. We may send transactional emails about your account and orders; you can unsubscribe from marketing email at any time.

8. Intellectual property.

The Services, including software, design, text, graphics, logos (HubHive, HubHive Shop, Loop, ProFinder, Clips, PCode), and their arrangement, are owned by HubHive or its licensors and protected by law. We grant you a limited, revocable, non-transferable license to use the Services for personal or internal business purposes in accordance with these Terms.

10. Third-party services.

The Services use third-party providers (for example Stripe for payments, Apple Pay, Google Pay, and Link; Amazon Web Services for text delivery). Your use of those services may be subject to their terms. HubHive is not responsible for third-party services or content, including Seller websites we link to.

11. Disclaimers.

THE SERVICES, ALL CONTENT, AND ALL PRODUCTS AND SERVICES OFFERED BY SELLERS AND PROVIDERS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HUBHIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HUBHIVE DOES NOT WARRANT THAT ANY PRODUCT IS SAFE, LEGAL, ACCURATELY DESCRIBED, OR OF ANY PARTICULAR QUALITY, THAT ANY SELLER OR PROVIDER IS LICENSED OR RELIABLE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. ANY WARRANTY ON A PRODUCT IS THE SELLER'S OR MANUFACTURER'S ALONE. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

12. Limitation of liability.

TO THE FULLEST EXTENT PERMITTED BY LAW, HUBHIVE AND ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES, ANY PRODUCT OR SERVICE OBTAINED THROUGH THE SERVICES, OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. HUBHIVE'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE HUBHIVE FEES ACTUALLY RETAINED BY HUBHIVE ON THE ORDER GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnification.

You agree to defend, indemnify, and hold harmless HubHive and its owners, directors, employees, and partners from any claim, loss, liability, and expense (including reasonable attorneys' fees) arising from your User Content, your use of the Services, your violation of these Terms or law, or your dealings with any Seller, provider, or other member.

14. Suspension and termination.

We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms or risk to HubHive or the community. You may stop using the Services or delete your account at any time. Sections that by their nature should survive (including 2, 4, 11–16) survive termination. Orders placed before termination remain subject to these Terms.

15. Dispute resolution — arbitration and class waiver.

15.1 Informal resolution first. Before filing a claim, you agree to email legal@hubhive.com describing the dispute and to negotiate in good faith for 30 days.

15.2 Binding arbitration. Any dispute between you and HubHive that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Salt Lake County, Utah (or by video/telephone), rather than in court. The Federal Arbitration Act governs this Section. Either party may bring an individual claim in small-claims court instead.

15.3 Class action waiver. YOU AND HUBHIVE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

15.4 Opt-out. You may opt out of arbitration by emailing legal@hubhive.com within 30 days of first accepting these Terms, stating your name, account phone number, and intent to opt out.

15.5 Exceptions. Either party may seek injunctive relief in court for intellectual-property infringement or unauthorized access. If the class waiver is found unenforceable as to a claim, that claim proceeds in court, not arbitration.

15.6 Time limit. Any claim must be brought within one year after it arises, to the extent permitted by law.

16. General.

16.1 Governing law. Utah law governs these Terms, without regard to conflict-of-law rules; the FAA governs Section 15. Venue for any court proceeding is Salt Lake County, Utah.

16.2 Changes. We may update these Terms. For material changes we will give notice through the Services or by email or text before they take effect. Continued use after the effective date constitutes acceptance. Changes to Section 15 do not apply to disputes already noticed.

16.3 Entire agreement; severability; assignment. These Terms, the Privacy Policy, the Refund & Cancellation Policy, and any applicable Seller or Creator Terms are the entire agreement between you and HubHive regarding the Services. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms; HubHive may.
